Terms of service

These terms of service ("Terms") apply to the website and services provided by Risefex LLC ("Risefex", "we", "us"), a limited liability company registered in Wyoming, United States. By using our website or buying our services, you ("Client", "you") agree to these Terms.

1. Services

We provide web development, app development, website audit and SEO, and Shopify store management services. The exact scope, deliverables, timeline and price for each engagement are set out in the package description on our website or in a written proposal that you approve. If a proposal conflicts with these Terms, the proposal applies for that project.

2. Quotes and pricing

  • All prices are in US dollars and exclude any applicable taxes.
  • Custom quotes are valid for 30 days from the date they are sent.
  • Work outside the agreed scope is quoted separately, and we do not start it without your written approval.

3. Payment

  • One-time projects are billed 50% before work starts and 50% on delivery, unless your proposal sets a different milestone schedule.
  • Monthly plans are billed in advance on the same date each month.
  • Invoices are due on receipt. If a payment is more than 14 days late, we may pause work until it is paid.

4. Your responsibilities

You agree to provide the content, materials, feedback and account access we need, on time. You confirm that anything you give us (such as text, images, logos and data) belongs to you or that you have permission to use it. Delays in providing materials may extend the project timeline.

5. Revisions and approval

Each package includes the number of revision rounds stated in its description. A deliverable is considered approved when you confirm approval in writing, or 7 days after delivery if you have not requested revisions.

6. Ownership and intellectual property

  • Once you have paid in full, you own the final designs, code, and content we create specifically for you, and we hand over all files and logins.
  • Third-party items such as themes, plugins, fonts, stock images, and open-source libraries remain subject to their own licenses.
  • We may describe the general nature of the work in our portfolio unless you ask us not to, and we never share confidential information.

7. Cancellations and refunds

Cancellations and refunds are handled under our refund policy. In short, you pay for work we deliver and are not charged for work we don't deliver.

8. Support and warranty

Each package includes the free support period stated in its description, covering fixes for defects in work we delivered. Support does not cover new features, changes made by you or third parties, or problems caused by third-party services, hosting or platform updates.

9. Results

We use industry best practices, but search engine rankings, traffic, sales, and app store approvals depend on factors outside our control. We do not guarantee specific rankings, revenue or approval outcomes.

10. Confidentiality

We keep your business information, account access, and project details confidential and use them only to perform our services.

11. Limitation of liability

To the maximum extent allowed by law, Risefex is not liable for indirect, incidental or consequential damages, including lost profits or data. Our total liability for any claim related to a project is limited to the amount you paid us for that project, or for monthly plans, the fees paid in the 3 months before the claim.

12. Termination

Either party may end a project or plan by written notice. You pay for work delivered up to the termination date, and any amount paid for undelivered work is refunded under our refund policy.

13. Governing law

These Terms are governed by the laws of the State of Wyoming, United States. We will try to resolve any dispute informally first by contacting each other in good faith.

14. Changes to these Terms

We may update these Terms from time to time. The version in effect when you approve a proposal or start a plan applies to that engagement.
